The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

The Office of Mergers and Acquisitions (OMA) is responsible for matters relating to take-over bids, issuer bids, business combinations, related party transactions and significant acquisitions of securities of reporting issuers.

OMA is currently hiring for a permanent, full-time Legal Counsel to join their team.

Key Duties and Responsibilities

  • Analyzing complex legal and policy issues that arise in the context of mergers and acquisitions (M&A) while balancing regulatory objectives with practical business considerations

  • Reviewing information circulars for related party transactions and applications for discretionary relief from the requirements of securities law

  • Assessing substantive complaints and inquiries concerning M&A transactions

  • Participating in policy initiatives and other special projects to address challenging regulatory issues, legal issues and other Commission priorities

  • Participating in Commission hearings involving take-over bids and other M&A

As an ideal candidate, you have:

  • Membership in good standing with the Law Society of Ontario

  • Preferably, 4 years of relevant legal counsel experience

  • A strong understanding of the securities industry and securities legislation and an understanding of M&A transactions and policy issues

  • Demonstrated proficiency in balancing regulatory objectives with practical business considerations

  • Demonstrated ability to analyze complex problems and develop creative recommendations

  • The ability to communicate ideas clearly and concisely

  • Excellent research and legal drafting skills

  • Demonstrated ability to establish collaborative working relationships and engage with internal and external stakeholders

  • Ability to coordinate various aspects of projects and policies with appropriate staff within the organization

Additionally, it is considered an asset if you have the following:

  • Experience with conflict-of-interest transactions, take-over bids, issuer bids, and early-warning reporting

  • An interest in mergers and acquisitions policy
